Luca MiningTSXV: LUCA / OTCQX: LUCMF
Luca has growth potential. The per-share value is still unproven.
Two operating mines and a proposed acquisition create a plausible growth story. The central question is whether more production will translate into more cash for each shareholder.
Executive summary
A credible operating business, but not yet an independently established bargain.
Luca is already producing and has attracted meaningful strategic capital. The proposed Cozamin acquisition could increase scale, but its impact on fully diluted shareholder value is unresolved. Our position is WATCHLIST, not an actionable buy recommendation.
Cash generation is real
Luca reported $13.9 million of Q2 operating cash before working-capital changes. That is a stronger foundation than an exploration forecast. [1]
Cash conversion needs improvement
About $11.3 million of Q2 capital investment left just $2.6 million of company-defined free cash flow before working-capital changes. [1]
Ownership could change significantly
The C$211 million subscription-receipt financing is conditional on the Cozamin transaction. Future cash flow has to be divided across the post-deal shareholders. [3][4]

Business reality
Operating reality and value drivers
These are separate sources of potential value, not three equivalent cash-generating businesses.
| Asset / issue | Status | Evidence | Key question |
|---|---|---|---|
| Tahuehueto | Producing | Access to higher-grade stopes constrained Q3 performance. | Sustained grade, recovery and required capital. |
| Campo Morado | Producing | Q3 precious-metal grades and recoveries improved. | Repeatable after-capex cash generation. |
| Cozamin | Proposed acquisition | Established copper-silver operation; closing and financing remain conditional. | Supported mine life and what is left after borrowing, streaming and new shares. |
The transaction changes the denominator
Illustration only. This is not the fully diluted share count and excludes options, RSUs and other changes. No acquisition benefit is assumed to be free; debt, streams and spending must be included. Share structure [5] and financing [4].
Decision framework
What would change the assessment?
Confirm the Cozamin closing terms
Reconcile acquisition consideration, stream, debt and conditional equity.
Validate finite mine-life cash flow
Do not extend historical output or project schedules into unsupported years.
Demonstrate owner cash per share
Reconcile combined operations, all capital investment and financing claims.
Concentrate mix, variable grades and recoveries, substantial capital needs, acquisition integration and dilution could all prevent production growth from creating comparable shareholder value.
No published intrinsic value or buy-under price yet. The required supported annual cash-flow schedule, fully diluted equity bridge and independent valuation review have not cleared the publication gate. These are research ideas, not current buy recommendations.
